TERMS OF SERVICE

These Terms of Service (the "Terms") govern your access to and use of the website, application process, and related services (collectively, the "Services") provided by Novel Funding Inc. ("Novel Funding," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What Novel Funding Does

Novel Funding helps small businesses seek funding by matching applicants with funding sources in our network. We are not a lender, broker-dealer, or lead broker, and we are not a bank. We do not make funding decisions or set final funding terms; those decisions are made by the funders, lenders, or funding partners who review your application. We do not guarantee that you will be approved, receive an offer, or be funded.

2. Eligibility

You must be at least 18 years old and authorized to act on behalf of the business you are submitting. By using the Services, you represent that the information you provide is true, accurate, and complete, and that you have authority to submit it.

3. Applications and Information You Submit

When you submit an application, you authorize us to use and share your information with funding sources in our network so they can evaluate your request, as described in our Privacy Policy. You agree not to submit false, misleading, altered, or unauthorized information or documents. We may decline, suspend, or terminate any application or account at our discretion.

There are no upfront fees to apply through Novel Funding.

4. Communications Consent and Text Messaging

By providing your contact information, including your mobile phone number, you agree that Novel Funding may contact you by phone call, email, and text message (SMS) in connection with your application and the Services.

  • Purpose of messages. Our calls and texts are limited to servicing your application - for example, status updates and questions we need answered to process your funding request. These are conversational and customer-care communications.
  • No marketing texts. We do not send marketing, advertising, or promotional text messages, and we do not run SMS marketing campaigns.
  • Message frequency varies based on your application activity.
  • Message and data rates may apply depending on your carrier and plan.
  • Opt out of text messages at any time by replying STOP; reply HELP for help. After opting out, we may still contact you by phone or email about your application.
  • Carrier disclaimer. Mobile carriers are not liable for delayed or undelivered messages.
  • No sharing for marketing. Your mobile information and SMS consent are never shared with third parties or affiliates for marketing or promotional purposes.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful, fraudulent, or unauthorized purpose
  • Submit information you are not authorized to provide
  • Interfere with or disrupt the Services, or attempt to gain unauthorized access to our systems
  • Use automated tools (such as bots or scrapers) to access the Services without our permission
  • Misuse or attempt to reverse engineer any part of the Services

6. Intellectual Property

The Services, including all content, logos, trademarks, text, and software, are owned by Novel Funding or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, reproduce, distribute, or create derivative works from the Services without our prior written consent.

7. Third-Party Funders and Links

Funding offers come from independent third-party funders, lenders, and funding partners. Novel Funding is not responsible for the products, terms, decisions, acts, or omissions of those third parties, and your relationship and any funding agreement with them is solely between you and them. The Services may contain links to third-party websites that we do not control or endorse.

8. No Guarantees; No Professional Advice

We provide the Services on a reasonable-efforts basis. We do not guarantee approval, funding, specific terms, timing, or results. Nothing on the Services is legal, financial, tax, or accounting advice, and you should consult your own advisors before entering into any funding arrangement.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NOVEL FUNDING WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold harmless Novel Funding and its officers, directors, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your submitted information, or your violation of these Terms or applicable law.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Provisions that by their nature should survive termination will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the jurisdiction of those courts. The Parties will first attempt in good faith to resolve any dispute informally before filing a claim.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and post the updated Terms on this page. Your continued use of the Services after changes take effect means you accept the updated Terms.

15. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any right or provision is not a waiver of that right. These Terms, together with our Privacy Policy, are the entire agreement between you and Novel Funding regarding the Services.
